TERMS AND CONDITIONS OF SALE/LIMITATIONS OF RESPONSIBILITIES

 

ORDER PROCEDURE: ONCE CONFIRMED AND DEPOSIT PAYMENT IS MADE NO ORDER MAY BE CANCELLED. NO RETURNS ARE ACCEPTED. ALL ORDERS MUST BE IN WRITTEN FORM. AN ORDER WILL BE ACKNOWLEDGED BY MINIMA UPON RECEIPT OF A 50% DEPOSIT. IT IS YOUR RESPONSIBILITY TO REVIEW YOUR CONFIRMATION AND BRING ANY ERRORS TO THE ATTENTION OF MINIMA IMMEDIATELY. ALL ADJUSTMENTS MUST BE REQUESTED IN WRITING.

 

PRICE LISTS: AS A DISTRIBUTOR OF PRODUCTS, MINIMA DOES NOT CONTROL THE CURRENT LIST PRICE OF ANY ITEM DISTRIBUTED. OUR SUPPLIERS RESERVE THE RIGHT TO CHANGE PRICES AT ANY TIME WITHOUT NOTICE; THEREFORE, MINIMA CANNOT GUARANTEE ANY PRICE QUOTED FOR ANY PERIOD OF TIME. MINIMA SUGGESTS THAT A PUBLISHED PRICE LIST BE CONSIDERED A REFERENCE ONLY. PLEASE CONFIRM PRICING JUST PRIOR TO PLACING YOUR ORDER. PUBLISHED PRICE LISTS ADDRESS THE PRICE OF SPECIFIC PRODUCTS ONLY; ALL CUSTOMIZING, BOXING, CARTONING, CRATING, PACKING, SHIPPING, DELIVERY, INSTALLATION, ETC. MAY BE ADDITIONAL CHARGES, AND WILL BE ADDED TO THE COST OF THE SPECIFIC PRODUCT.

 

TERMS OF PAYMENT: UNDER NO CIRCUMSTANCE DOES MINIMA EXTEND CREDIT. A 50% DEPOSIT IS REQUIRED WITH EACH ORDER. BALANCE OF PAYMENT IS DUE PRIOR TO SHIPPING, OR RELEASE OF PRODUCT FOR DELIVERY.

  1. ALL PAYMENTS FOR THE COST OF PRODUCT, STATE TAXES, INCOMING FREIGHT CHARGES, CARTONING, STORING OR BOXING CHARGES, AND ANY OTHER CHARGES APPEARIN ON A MINIMA INVOICE, ARE TO BE MADE PAYABLE TO MINIMA.
  2. ALL PAYMENTS FOR LOCAL DELIVERY AND/OR INSTALLATION ARE DUE UPON RECEIPT TO THE DELIVERY AND/OR INSTALLATION SERVICE SELECTED.

 

QUALIFYING FOR TAX EXEMPTION: IF YOUR COMPANY IS TAX EXEMPT, OR YOU USE A PENNSYLVANIA TAX RESALE NUMBER, WE WILL HONOR YOUR TAX EXEMPTION WHEN THE APPROPRIATE FORM IS COMPLETED AND SUBMITTED TO MINIMA, SUBJECT TO APPROVAL BY THE APPROPRIATE GOVERNMENT AUTHORITY.

 

MANUFACTURERS’ WARRANTY: MINIMA IS A DISTRIBUTER FOR VARIOUS MANUFACTURERS. MINIMA IS NOT A MANUFACTURER. AS A DISTRIBUTOR, MINIMA EXTENDS AND UPHOLDS ONLY THOSE WARRANTIES THAT THE MANUFACTURER OFFERS. NO OTHER WARRANTIES ARE EXPRESSED OR IMPLIED.

 

APPLICABILITY OF PRODUCTS: MINIMA DOES NOT GUARANTEE THE SPECIFIC APPLICABILITY OF ANY PRODUCT DISTRIBUTED, ONLY THAT THE PRODUCT IS IN GOOD AND FUNCTIONAL CONDITION UPON RELEASE FROM MINIMA.

 

LIGHT BULBS: UNDER NO CIRCUMSTANCE DOES MINIMA WARRANT LIGHT BULBS OF ANY KIND. LIGHT BULBS ARE NOT INCLUDED IN THE PURCHASE OF LIGHTING FIXTURES UNLESS SUPPLIED BY THE MANUFACTURER.

 

DEFECTIVE PRODUCTS: ALL PRODUCTS HAVE BEEN INSPECTED PRIOR TO SHIPMENT AND JUDGED IN GOOD CONDITION BY THE MANUFACTURER. ANY CLAIMS REGARDING DEFECTIVE PRODUCT SHOULD BE DIRECTED THROUGH MINIMA, WHO MAY ASSIST IN NEGOTIATING YOUR CLAIM WITH THE MANUFACTURER. ALL CLAIMS MUST BE REGISTERED IN WRITING WITHIN 48 HOURS.

 

SHIPPING: YOU MAY SELECT A CARRIER FOR DELIVERY OF YOUR ORDER. IF YOU CHOOSE NOT TO SPECIFY A CARRIER, MINIMA WILL SPECIFY A CARRIER OF ITS CHOICE.

PLEASE ALLOW 2 BUSINESS DAYS AFTER RECEIPT OF FINAL BALANCE PAYMENT FROM THE PREPARATION DATE FOR OUR WAREHOUSE TO PROCESS THE SHIPMENT AND SCHEDULE THE ROUTING FOR DELIVERY. ONCE IT SHIPS, THE WHITE GLOVE SERVICE WILL CONTACT THE DESIGNATED EMAIL/PHONE NUMBER. THE TRANSIT TIME TO THE DELIVERY ADDRESS IS AN ESTIMATED 2 WEEK WINDOW.

 

STORAGE: YOU WILL BE NOTIFIED IN ADVANCE OF THE CHARGES AND WILL HAVE THE OPTION TO CHOOSE A WAREHOUSE RECOMMENDED BY MINIMA OR YOU HAVE THE OPTION TO CHOOSE YOUR OWN STORAGE FACILITY. IT IS THE RESPONSIBILITY OF THE PURCHASER TO DETERMINE AND NOTIFY MINIMA IF AND WHEN THE ORDERS WILL BE RELOCATED / DELIVERED.

 

DELIVERY/INSTALLATION SERVICES: DELIVERY SERVICES AND INSTALLERS RECOMMENDED BY MINIMA, OR NOT RECOMMENDED BY MINIMA, ARE NOT EMPLOYED BY MINIMA AND ARE TO BE CONSIDERED INDEPENDENT CONTRACTORS. THEREFORE, ANY DAMAGE TO PRODUCT AND/OR PREMISES INCURRED AS A RESULT OF DELIVERY AND/OR INSTALLATION ACTIVITIES ARE NOT THE RESPONSIBILITY OF MINIMA. ALL CLAIMS REGARDING THIS TYPE OF DAMAGE MUST BE NEGOTIATED DIRECTLY WITH THE DELIVERY AND/OR INSTALLATION SERVICE.

 

SHIPPING DAMAGE: IT IS THE PURCHASER’S RESPONSIBILITY TO CAREFULLY INSPECT THEIR ORDER. IMMEDIATELY UPON RECEIPT FOR SIGNS OF SHIPPING DAMAGE. APPARENT DAMAGE MUST BE REPORTED IMMEDIATELY TO THE TRUCKING COMPANY AND DAMAGE NOTED ON THEIR DELIVERY RECEIPT. IT IS YOUR RESPONSIBILITY TO INSPECT THE CONTENTS OF THE DELIVERY FOR CONCEALED SHIPPING DAMAGE. CONCEALED DAMAGE MUST BE REPORTED TO THE SHIPPING COMPANY WITHIN 24 HOURS. WE RECOMMEND THAT ALL SHIPPING DAMAGE BE REPORTED TO MINIMA IN WRITING. WE WILL ASSIST IN ANY WAY WE CAN.

 

PRODUCT SPECIFICATION: MINIMA’S VENDORS MANUFACTURE GENUINE LEATHER, GENUINE WOOD VENEER AND MARBLE. GENUINE WOOD VENEER WILL VARY IN COLOR AND CONTAINS NATURAL CHARACTERISTICS SUCH AS KNOTS AND GRAINING. THIS IS A RESULT OF MANUFACTURING PROCESS AND IS NOT CONSIDERED A DEFECT.SIMILARLY, MARBLES, FABRICS AND LEATHER MAY VARY IN COLOR FROM SHOWROOM SAMPLES DUE TO VARIATION IN THE NATURAL STONE, DYE LOTS AND GENUINE LEATHER.
